Terms of Service
Effective September 1, 2026
These Terms of Service (“Terms”) govern your access to and use of MyPricingCalculator.com, MPC PRO, MPC DATA, and related products, software, calculators, features, estimating systems, proposal tools, content, and services.
By accessing or using the Services, creating an account, or purchasing an MPC PRO subscription, you agree to these Terms and the MPC Privacy Policy.
If you do not agree to these Terms, do not use the Services.
1. Definitions
For purposes of these Terms:
“MPC,” “we,” “us,” or “our” means MyPricingCalculator.com and the operator of the Services.
“Services” means MyPricingCalculator.com, MPC PRO, MPC DATA, and related software, calculators, estimating systems, proposal tools, features, content, and services provided by MPC.
“MPC PRO” means MPC's paid subscription-based pricing, estimating, proposal, and related business software.
“MPC DATA” means MPC's systems, datasets, observations, benchmarks, analytics, models, and other pricing or business intelligence developed from permitted sources, including properly de-identified and aggregated information derived from use of the Services.
“User” or “you” means any individual person, business, company, or other entity accessing or using the Services.
“User Data” means original information submitted by a User to the Services, including business information, customer information, job information, proposal content, and similar information.
“Privacy Policy” means MPC's then-current privacy policy describing how MPC collects, uses, protects, retains, and otherwise handles personal information. The Privacy Policy is incorporated into these Terms by reference.
2. Description of the Services
MPC provides pricing, estimating, job-costing, proposal, business-calculation, and related decision-support tools primarily intended for contractors, tradespeople, service businesses, and small-business owners.
Certain MPC tools may be available without an account. Other features may require a free account or paid MPC PRO subscription.
MPC is a software and information service.
MPC does not perform contracting work, manage your business, employ your workers, inspect your job sites, enter into agreements with your customers, or determine the final price you must charge.
3. Eligibility and Accounts
You must be legally capable of entering into a binding agreement to create an account or purchase an MPC PRO subscription.
You are responsible for providing accurate account information and keeping that information reasonably current.
You may not create or use an account using materially false information, impersonate another person or organization, or create accounts for fraudulent, abusive, or prohibited purposes.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
You may not sell, transfer, sublicense, or improperly share access to your account.
You should notify MPC if you believe your account has been accessed without authorization.
4. MPC PRO Subscription
Certain features require a paid MPC PRO subscription.
MPC PRO is currently offered at $9 per month, unless another price, promotional offer, or subscription arrangement is clearly presented to you before purchase.
MPC may offer different subscription levels, promotional pricing, discounts, complimentary access, trials, partner promotions, or other offers.
Any promotional offer may be subject to additional conditions disclosed with that offer.
5. Billing and Automatic Renewal
Unless expressly stated otherwise when you subscribe, MPC PRO subscriptions automatically renew at the end of each billing period until canceled.
Before obtaining payment information for an automatically renewing subscription, MPC will clearly disclose the material subscription terms, including the subscription price, billing frequency, automatic-renewal nature of the subscription, and available cancellation method.
By purchasing an automatically renewing subscription, you affirmatively authorize MPC and its payment processor to charge your selected payment method according to the subscription terms presented to you.
Subscription charges are generally billed in advance for the applicable billing period.
MPC may provide electronic confirmation containing information concerning your subscription and cancellation method.
You are responsible for maintaining valid payment information.
MPC may change subscription prices from time to time. When reasonably required, MPC will provide notice before a material price change applies to a future renewal.
If MPC offers subscription periods of six months or longer, MPC will provide advance renewal notices when required by applicable law.
Nothing in these Terms limits additional disclosures, notices, acknowledgments, consent procedures, or cancellation rights required by applicable law.
6. Cancellation
You may cancel your MPC PRO subscription at any time before your next subscription charge is processed using the cancellation method provided through your account or another straightforward method designated by MPC.
Cancellation prevents the subscription from renewing for another billing period.
Unless otherwise stated, you will continue to have access to MPC PRO through the remainder of the billing period for which you have already paid.
After the paid subscription expires, your account may revert to MPC's free membership level or another level of access offered by MPC rather than being deleted.
MPC does not require cancellation a specified number of hours or days before renewal unless such a requirement is clearly disclosed when the subscription is purchased.
MPC may provide electronic confirmation when a subscription is canceled and may retain reasonable records of the cancellation.
7. Refunds
Except where required by law or expressly stated otherwise by MPC, subscription payments are non-refundable after a billing period has begun.
MPC generally does not provide prorated refunds or credits for unused portions of a billing period.
MPC may, at its discretion, provide a refund, credit, subscription extension, or other adjustment in exceptional circumstances.
Providing an adjustment in one situation does not require MPC to provide the same adjustment in another.
Any specific trial, money-back guarantee, promotional refund policy, or similar offer will be governed by the conditions disclosed with that offer.
8. Pricing, Estimating and Business Guidance
MPC and MPC PRO are pricing, estimating, and business decision-support tools.
Calculations, recommended rates, estimated labor hours, production rates, material allowances, overhead calculations, profit calculations, margins, geographic adjustments, suggested selling prices, market information, and other information produced or displayed by MPC are provided as estimates and guidance only.
They are not guarantees of actual cost, selling price, profitability, job duration, customer acceptance, market demand, or business results.
Actual results may differ substantially based upon factors including:
- employee wages and productivity;
- material prices and availability;
- insurance and operating expenses;
- taxes;
- equipment and transportation costs;
- job-site conditions;
- geographic market conditions;
- competition;
- customer expectations;
- changes in scope;
- contractor experience and efficiency;
- unforeseen conditions; and
- the accuracy of information supplied by the User.
You remain responsible for determining whether an MPC calculation or recommendation is appropriate for your business and the particular job.
Users should independently review and verify material measurements, quantities, costs, rates, assumptions, and calculations before relying upon them for a customer proposal, contract, purchase, or other business commitment.
9. Automated and AI-Assisted Features
Certain Services may use automated systems, statistical models, algorithms, artificial intelligence, machine learning, or similar technologies to generate suggestions, explanations, estimates, summaries, recommendations, or other outputs.
Automated outputs are provided for informational and decision-support purposes only.
You should review automated outputs before relying upon them, incorporating them into an estimate or proposal, or providing them to a customer.
MPC does not guarantee that automated outputs will be complete, accurate, appropriate, or suitable for a particular project or business.
The final decision regarding pricing, scope, estimates, proposals, and other business decisions remains with you.
10. No Earnings or Profit Guarantee
MPC does not guarantee that use of the Services will cause you to earn any particular amount of revenue, income, profit, margin, hourly rate, or return.
A recommended selling price or labor rate represents guidance based upon information and assumptions used by the Services.
It does not mean that a customer will accept or pay that price.
Likewise, customer acceptance of an estimate does not guarantee that the project will ultimately produce the calculated profit or margin.
Your business results remain your responsibility.
11. User Inputs and Business Records
Many MPC calculations depend upon information supplied by you.
You are responsible for reviewing information entered into MPC, including wages, labor rates, overhead expenses, material costs, quantities, production rates, desired margins, job conditions, and other assumptions.
Incorrect, incomplete, outdated, or unrealistic information may produce inaccurate results.
MPC is not responsible for losses resulting from inaccurate information supplied by a User or from a User's decision to rely upon an estimate without reviewing whether it is appropriate for the particular job.
You may not knowingly submit unlawful, malicious, fraudulent, infringing, or harmful material through the Services.
Users are encouraged to retain copies of important estimates, proposals, customer records, and other business records. MPC does not guarantee that User Data will be retained indefinitely.
12. Estimates, Proposals and Customer Relationships
MPC PRO may allow you to create estimates, proposals, pricing presentations, or similar documents for customers.
These documents are created on your behalf.
MPC IS NOT A PARTY TO ANY CONTRACT OR AGREEMENT BETWEEN YOU AND YOUR CUSTOMER.
You are solely responsible for your customer relationships and matters including final pricing, scope of work, measurements and quantities, taxes, deposits, permits and licensing, warranties, payment terms, scheduling, materials, employees and subcontractors, performance of the work, customer communications, refunds, disputes, and compliance with applicable laws.
Use of an MPC-generated estimate or proposal does not constitute MPC's approval, certification, endorsement, or guarantee of the contractor, project, work, or quoted price.
MPC is not responsible for disputes, claims, or legal issues arising between you and your customer concerning an estimate, proposal, contract, pricing decision, or work performed or promised by you.
Any such dispute remains between you and your customer.
13. Legal and Regulatory Responsibility
Contracting and service businesses may be subject to federal, state, provincial, county, municipal, licensing, consumer-protection, home-improvement, tax, employment, environmental, building-code, permitting, and other requirements.
Certain jurisdictions may require specific language, disclosures, license numbers, notices, cancellation rights, deposit limitations, warranties, or other provisions in estimates or contracts.
MPC does not guarantee that an estimate, proposal, template, calculation, or other document generated through the Services satisfies legal requirements applicable to your business or project.
You are responsible for determining and complying with requirements applicable to you and should consult an appropriately qualified legal or other professional when necessary.
14. Industry and Third-Party Information
MPC may use or reference government information, industry information, publicly available information, historical information, User-supplied information, third-party information, or MPC-developed datasets and calculations.
Such information may be incomplete, delayed, approximate, outdated, or different from actual conditions in a particular market.
MPC makes no warranty regarding the accuracy or completeness of third-party information and does not represent that any industry benchmark, wage figure, production rate, material price, geographic adjustment, or other external information will precisely reflect your circumstances.
15. No Professional Advice
The Services provide business tools and informational guidance.
MPC does not provide legal, accounting, tax, financial, investment, engineering, architectural, insurance, employment, safety, or other regulated professional advice.
Information generated by MPC should not be treated as a substitute for advice from an appropriately qualified professional when professional advice is required.
16. Professional Judgment
MPC PRO is intended to assist—not replace—your professional judgment.
You should review estimates before presenting them to customers and make adjustments whenever your experience, knowledge of the project, local market, job-site conditions, or business circumstances indicate that an adjustment is appropriate.
The final decision regarding whether to bid a job, what price to charge, what work to perform, and whether to accept a project belongs to you.
17. Intellectual Property
The Services and their underlying technology are owned by MPC or its licensors and are protected by applicable intellectual-property laws.
This includes, as applicable, MPC's software, source code, interfaces, designs, branding, trademarks, calculation systems, pricing methodologies, algorithms, trade models, task libraries, database structures, normalization methods, compilations, documentation, content, and other proprietary materials.
Your use of the Services gives you a limited right to use MPC for its intended purpose. It does not transfer ownership of MPC intellectual property to you.
Except where expressly permitted, you may not copy, reproduce, republish, sell, license, distribute, modify, create derivative works from, reverse engineer, decompile, attempt to discover source code or proprietary methods, or commercially exploit MPC's proprietary technology or content, except where applicable law expressly prohibits such restrictions.
18. User Data and MPC DATA
You retain your rights in your original User Data.
Your use of MPC does not transfer ownership of your identifiable customer relationships, original business records, or original proposal content to MPC.
You grant MPC the rights reasonably necessary to host, process, store, transmit, display, analyze, and otherwise use User Data to operate, secure, maintain, support, and improve the Services.
MPC may derive non-personal, de-identified, aggregated, statistical, analytical, and usage information from operation and use of the Services.
Subject to applicable law and the Privacy Policy, MPC may use such information to:
- improve calculations and recommendations;
- develop pricing and market benchmarks;
- analyze industry and geographic trends;
- improve estimating and production-rate models;
- evaluate system performance and accuracy;
- detect errors and improve data quality;
- develop new features, products, and services;
- conduct research and analysis;
- develop and improve MPC DATA; and
- create commercial datasets, benchmarks, analytics, reports, models, and other products that do not identify an individual User or customer.
De-identified and aggregated information developed by MPC may be retained and used after an account or subscription terminates where permitted by applicable law.
MPC DATA, including MPC-developed compilations, models, benchmarks, analytics, normalized observations, derived information, database structures, and de-identified or aggregated datasets, constitutes MPC proprietary information to the extent permitted by law.
Nothing in this section permits MPC to publicly identify an individual contractor, customer, or business as the source of a particular MPC DATA observation unless MPC has an independent lawful basis to do so.
19. Data Retention and Deletion
MPC may retain User Data for as long as reasonably necessary to provide the Services, maintain transaction and business records, comply with legal obligations, prevent fraud or abuse, resolve disputes, enforce agreements, maintain security, and fulfill other legitimate business purposes.
Users may request deletion of eligible personal information in accordance with the Privacy Policy and applicable law.
MPC will process valid deletion requests within a reasonable period, subject to applicable legal, security, backup, fraud-prevention, and record-retention requirements.
Deletion of identifiable User Data does not necessarily require MPC to remove information that has previously been lawfully de-identified, aggregated, normalized, or incorporated into MPC DATA in a manner that no longer reasonably identifies the User or customer, where continued retention is permitted by applicable law.
Backup copies may remain for a reasonable period as part of normal security, disaster-recovery, and system-integrity processes.
20. Acceptable Use and Protection of MPC Systems
You may use MPC only for lawful purposes and in accordance with these Terms.
You may not:
- access the Services through unauthorized automated systems;
- scrape, crawl, harvest, systematically download, or extract MPC data or content;
- use bots or automated processes to reproduce MPC databases or pricing information;
- reverse engineer or attempt to discover proprietary algorithms, calculation methods, source code, or database structures except where such restrictions are prohibited by law;
- systematically copy MPC trade models, task libraries, pricing guidance, production rates, or datasets;
- use the Services primarily to develop, train, populate, validate, or improve a competing pricing, estimating, benchmarking, contractor-software, or data product;
- circumvent subscription restrictions or access controls;
- improperly share accounts;
- misuse promotional codes, complimentary access, trials, or partner programs;
- interfere with the security or operation of the Services;
- introduce malware or harmful code;
- impersonate another person or organization;
- use MPC for fraudulent or unlawful activity; or
- attempt unauthorized access to another User's account or MPC systems.
Users are encouraged to report suspected unauthorized access, security vulnerabilities, abuse, scraping, fraud, or other suspicious activity to MPC.
MPC may employ technical measures to detect and prevent prohibited activity.
21. Protection Against Unauthorized Extraction
Unauthorized scraping, systematic data extraction, reverse engineering, or use of MPC proprietary information to construct or improve a competing product may cause harm that is difficult to quantify through monetary damages alone.
Accordingly, in addition to other remedies available under these Terms or applicable law, MPC may seek appropriate injunctive or equitable relief to prevent or stop actual or threatened unauthorized access, extraction, misuse, disclosure, or exploitation of MPC proprietary information.
Nothing in this section creates predetermined liquidated damages or limits other remedies available to MPC under applicable law.
22. Beta, Preview and Experimental Features
MPC may make certain features available as beta, preview, early-access, experimental, or similar features.
Such features may be incomplete, changed, suspended, or discontinued and may contain errors or operate unreliably.
Beta or experimental features are provided on an “AS IS” and “AS AVAILABLE” basis to the maximum extent permitted by law.
You should not rely upon beta or experimental features for circumstances where an error or interruption could cause material harm.
23. User Feedback
MPC welcomes suggestions, comments, ideas, and other feedback regarding the Services.
If you voluntarily provide feedback, you grant MPC a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, incorporate, commercialize, and otherwise use that feedback to develop, improve, operate, market, and provide MPC products and services without compensation or ownership obligation to you.
Providing feedback does not give you any ownership, authorship, intellectual-property, compensation, or other proprietary interest in any MPC product, feature, modification, technology, or improvement developed using or inspired by that feedback.
This provision does not transfer ownership of your User Data to MPC.
24. Suspension and Termination
MPC may suspend, restrict, or terminate access if MPC reasonably believes that you materially violated these Terms, payment cannot be processed, your account is being used fraudulently, your account presents a security risk, you are attempting unauthorized extraction or reproduction of MPC data or technology, your use threatens the operation or integrity of the Services, or suspension is reasonably necessary to comply with law.
When reasonably practicable, MPC will notify you of a suspension and the reason for it.
Advance notice may not be provided where immediate action is reasonably necessary for security, fraud prevention, legal compliance, protection of MPC systems, or prevention of unauthorized access or data extraction.
When practical and appropriate, MPC may provide an opportunity to correct a violation before permanent termination.
Serious security abuse, fraud, unlawful activity, deliberate scraping, or attempted theft of MPC intellectual property may result in immediate suspension or termination.
Sections that by their nature should survive termination—including intellectual-property, data-rights, disclaimers, liability, indemnification, and dispute provisions—survive termination.
25. Payment Failures
If a subscription payment cannot be processed, MPC or its payment processor may attempt to process the payment again.
MPC may temporarily restrict paid features if payment remains unsuccessful.
MPC is not required to impose late fees or interest on failed subscription payments.
You remain responsible for maintaining current billing information.
26. Taxes
Subscription prices may not include applicable sales, use, value-added, or similar taxes unless specifically stated.
Where MPC is legally required to collect taxes, applicable amounts may be added to your subscription charge.
You remain responsible for taxes arising from your own contracting or business activities.
27. Availability, Changes and Discontinuation
MPC works to provide reliable Services but does not guarantee uninterrupted or error-free availability.
MPC may add, modify, improve, replace, limit, temporarily suspend, or discontinue features as the Services evolve.
MPC does not guarantee that a particular feature, integration, calculation method, trade module, interface, dataset, or functionality will remain available indefinitely.
MPC is not obligated to maintain backwards compatibility with prior versions of the Services.
To the maximum extent permitted by law, MPC will not be liable solely because a feature or functionality is modified or discontinued.
When a material change substantially eliminates the primary functionality of a paid subscription during an already-paid billing period, MPC may provide reasonable notice, continued access where practical, an alternative feature, credit, refund, or other appropriate remedy as MPC determines or as required by applicable law.
28. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, SOFTWARE, CALCULATIONS, ESTIMATES, RECOMMENDATIONS, DATA, AUTOMATED OUTPUTS, CONTENT, AND RELATED MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
MPC DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, MPC DOES NOT WARRANT:
- the accuracy, completeness, or currentness of third-party, government, industry, wage, material-price, geographic, or other underlying data;
- that a calculation or recommendation is appropriate for a particular project, trade, business, customer, location, or market;
- that use of the Services will produce a particular financial or business result;
- that any particular customer will accept an MPC-assisted estimate;
- compatibility with any particular third-party software or system; or
- that the Services will always be uninterrupted, error-free, or completely accurate.
Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
29. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MPC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.
THIS INCLUDES LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOST DATA, LOSS OF GOODWILL, CUSTOMER DISPUTES, UNDERPRICED OR OVERPRICED WORK, COST OVERRUNS, OR BUSINESS INTERRUPTION.
For Users with a paid MPC subscription, MPC's total aggregate liability arising from or relating to the Services or these Terms will not exceed the total subscription fees actually paid by the User to MPC during the twelve (12) months immediately preceding the event giving rise to the claim.
For Users accessing the Services without a paid subscription, MPC's total aggregate liability arising from or relating to the Services or these Terms will not exceed Fifty Dollars ($50.00).
These limitations apply only to the maximum extent permitted by applicable law and do not limit liability that applicable law does not permit MPC to exclude or limit.
30. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MPC and its owners, officers, employees, contractors, affiliates, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable legal expenses arising from or relating to:
- your material breach of these Terms;
- your misuse of the Services;
- your gross negligence or willful misconduct in connection with use of the Services;
- unlawful or infringing User Data submitted by you;
- your violation of another person's intellectual-property or other legal rights;
- work, representations, warranties, commitments, or contractual obligations undertaken by you for customers; or
- disputes between you and your customers arising from your contracting or business relationship.
You agree to provide reasonable cooperation in the defense of a covered third-party claim.
MPC may participate in the defense of a claim with counsel of its choosing where reasonably appropriate.
This provision does not require you to indemnify MPC for claims resulting solely from MPC's own unlawful conduct, gross negligence, or willful misconduct where such indemnification is prohibited by applicable law.
31. Force Majeure
MPC will not be responsible for delays, interruptions, failures, or inability to perform caused by circumstances beyond MPC's reasonable control.
These circumstances may include natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, epidemics, government actions, labor disruptions, power failures, telecommunications failures, internet outages, hosting-provider failures, widespread cloud-service outages, cyberattacks, denial-of-service attacks, failures of third-party infrastructure, or comparable events beyond MPC's reasonable control.
This section does not excuse obligations that applicable law does not permit MPC to exclude.
32. Third-Party Services
MPC may rely upon or integrate with third-party providers for payment processing, hosting, analytics, communications, mapping, government data, accounting integrations, or other functionality.
Third-party products and services may be subject to their own terms, policies, availability, security practices, and privacy practices.
MPC does not control and is not responsible for the independent terms, privacy practices, acts, omissions, availability, or operation of third-party services outside MPC's reasonable control.
Your use of a third-party service may create a separate relationship between you and that provider.
33. Copyright and User-Submitted Content
You may not use the Services to upload, reproduce, distribute, or otherwise use content in violation of another person's intellectual-property rights.
MPC may remove or restrict access to content when MPC reasonably believes that content infringes another person's rights or violates these Terms.
MPC may maintain procedures for receiving and responding to copyright-infringement notices as required or appropriate under applicable law.
Copyright or infringement concerns may be reported to legal@mypricingcalculator.com.
34. Export Controls and International Use
You are responsible for complying with applicable United States export-control, trade-restriction, and economic-sanctions laws in connection with your use of the Services.
You may not use the Services where such use would violate applicable U.S. trade restrictions or sanctions.
MPC does not represent that the Services are legally appropriate or available in every jurisdiction.
Users accessing MPC outside the United States are responsible for compliance with laws applicable to their use of the Services.
35. Changes to These Terms
MPC may update these Terms as the Services evolve or legal or operational requirements change.
When changes are material, MPC may provide notice through the website, account interface, email, or another reasonable method.
Updated Terms will identify their effective date.
Continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
36. Dispute Resolution and Individual Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for matters eligible for small-claims court and requests for appropriate injunctive or equitable relief concerning unauthorized access, misuse, intellectual property, or proprietary information, you and MPC agree that disputes arising from or relating to these Terms or the Services will be resolved through binding individual arbitration rather than a lawsuit in court, to the extent permitted by applicable law.
Arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA rules in effect when the arbitration is commenced, subject to these Terms and applicable law.
Arbitration will take place on an individual basis.
YOU AND MPC AGREE THAT CLAIMS MAY NOT BE BROUGHT OR RESOLVED AS A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION TO THE EXTENT PERMITTED BY LAW.
Nothing in this section prevents either party from bringing an eligible individual claim in small-claims court.
30-Day Arbitration Opt-Out
You may opt out of this arbitration agreement by providing MPC written notice within thirty (30) days after the date you first become subject to this arbitration provision.
The notice must clearly state:
- your name;
- the email address associated with your MPC account, if applicable; and
- that you wish to opt out of the arbitration agreement.
Opt-out notices must be sent to:
Properly opting out of arbitration will not affect your ability to use MPC or MPC PRO.
If you validly opt out, disputes between you and MPC will instead be resolved according to the Governing Law and Venue section below, unless otherwise required by law.
37. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
For disputes not subject to arbitration, including disputes for which a User has validly opted out of arbitration, legal proceedings will be brought in an appropriate state or federal court located in Pennsylvania unless applicable law requires otherwise.
The parties consent to the jurisdiction of such courts to the extent permitted by law.
38. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
If any portion of the arbitration or class-action provisions is found unenforceable, the effect of that determination will be governed by applicable law and the remaining enforceable portions of these Terms will remain in effect to the extent permitted by law.
39. No Waiver
MPC's failure to enforce a provision of these Terms does not waive its right to enforce that provision or another provision in the future.
40. Entire Agreement
These Terms, together with the Privacy Policy and additional terms expressly presented for a particular MPC product, promotion, or service, constitute the agreement between you and MPC concerning use of the Services.
